7:00 P.M., Tuesday, March 20, 1979, Irene Dixon Auditorium, Roper Hospital
The special meeting of the Medical Society of South Carolina was opened by
the President, Dr. R. Randolph Bradham, on March 20, 1979 in the Irene Dixon Auditorium at the
Roper Hospital at 7:00 P. M.

Also present were Mr. C. A. Robb, Roper Hospital Administrator, attorneys
for the Society from the firm of Young, Clement and Rivers, and attorneys from the firm of
Sinkler, Gibbs and Simons.
The President had the Secretary read pertinent passages from the
minutes of the previous meeting of February 27, 1979.
The President then recognized Dr. Charles J. Geilfuss who read the
"resolved" portion of the resolution of the Committee on Nominations,
Policy and Public Relations and moved its adoption and then made further
comments on significant parts of the resolution itself, summarizing the report of the committee,
The President then introduced the Society's attorneys who were present and
attorneys from the firm of SinUer, Gibbs and Simons. He invited members to ask questions. He
pointed out that the changes in the constitution and by-laws relative to the change of the
Society's tax exempt status to a 501 (c) (3) classification required a majority vote of the entire
membership of the Society. He notified the Society that voting would be by secret ballot and
he explained the method for carrying out this procedure at this meeting.
