MINUTES/ BOARD OF DIRECTORS/ MEDICAL SOCIETY OF S. C. / 2/23/87 A meeting of the Board of Directors of the Medical Society of South Carolina was held on Monday, February 23, 1987 at 6:45 p.m. in Conference Room No. 1, Dr. J. T. Buxton, Jr. President of the MSSC, presided. PRESENT Dr. J. T. Buxton, Jr. President/Medical Society of S.C. Dr. E. L. Hay Vice-Pres./Medical Society of S.C. Dr. J. T. Richards Sec.-Treasurer/ Medical Society of S. C. Dr. T. A. Kirkland, Jr. Chairman/Roper Health Services and Hospital, Inc. Dr. William Middleton, Jr. Vice-Chair/Roper Health Services and Hospital, Inc. Dr. R. R. Bradham Secretary/Roper Health Services and Hospital, Inc. Dr. C. F. Rivers, Jr. Dr. J. M. Officio With the corporate restructure, one objective of the Medical Society of South Carolina was the consolidation of efforts with their finances. Dr. Buxton explained that the purpose of the Medical Society is for the education of its members, but funds of the Medical Society will be more effective if placed in the Roper Foundation as a catalyst for future donations to the hospital. Dr. Richards made a motion that the funds of the Medical Society of South Carolina be transferred to the jurisdiction of the Roper Foundation (but to remain under the ownership of the Medical Society), and that the Finance Committee of the Medical Society of South Carolina be dissolved. The motion was seconded and approved. To amend the present bylaws to include the above approved motion, a notice of the needed amendment needs to be sent to the Medical Society members ten days prior to their meeting. Since the next meeting would be prior to the ten days needed, February 24, the proposed bylaw change will be presented to the Medical Society at the May meeting. The majority of the Medical Society Board forms the majority of the Roper Hospital and Health Services, Inc. Boards, so that the Medical Society, through its elected Board members, represents the majority of every entity that is in a decision making position. Therefore, the elected body of the Medical Society decided which entity has caretaking management responsibilities. Under the reorganization, the Roper Foundation was decided to be the entity that would deal with the endowments, gifts, etc.
